"Golden Share" of Sheremetyevo Airport to be acquired by Russian government

The decision was made as part of the privatization of the state-owned stake in the airport

The Russian government has decided to use the special "golden share" right to participate in the management of JSC "Sheremetyevo International Airport," Interfax reports. The corresponding order was signed by Prime Minister Mikhail Mishustin on August 18. The basis is paragraph 1 of Article 38 of the Federal Law "On Privatization of State and Municipal Property."

In early August, President Vladimir Putin signed a decree to remove Sheremetyevo from the list of strategic enterprises, which opened up the possibility of full privatization of the asset. The head of state instructed that when alienating shares, a ban on their transfer to foreign control and obligations for the modernization of airport facilities should be provided. After being removed from the list, the state must receive a special right to participate in management – the "golden share."

The "golden share" does not give voting rights on the board of directors but allows vetoing changes to the charter. In 2017, after consolidation, "Sheremetyevo Holding" received 66.06% of the shares, while Rosimushchestvo retained 30.46%. In 2020, the holding applied to buy out the state's share but withdrew from the deal. Now the state is reinstating the control mechanism to ensure that the strategic object remains under Russia's influence.
