Alfa-Bank is preparing for the largest deal in the Russian leasing market: it is acquiring Europlan from the SFI holding. The deal covers 87.5% of the shares owned by SFI, with subsequent consolidation of 100% of the company. Sources at the Kommersant newspaper estimate the total purchase price at 65 billion rubles.
Europlan is a major player in the leasing market for cars, trucks, commercial vehicles, and special equipment. At the end of the first half of 2025, the company ranked eighth in terms of new business volume (36.4 billion rubles) and tenth in terms of portfolio size (349.8 billion rubles).
Alfa-Bank already owns Alfa-Leasing, the third-largest leasing operator in Russia in terms of new business volume, with a portfolio of 835.9 billion rubles as of July 1, 2025, where 48.4% accounts for railway equipment and 26.6% for trucks.
Negotiations for the sale of Europlan began in the summer of 2025. SFI considered the sale to reduce its debt burden, given the 40% drop in Europlan's capitalization after the IPO. In addition to Alfa-Bank, Sberbank, VTB, Dom.RF, and T-Bank showed interest.
The plan now is to keep Europlan as a separate company with gradual integration into the Alfa-Bank ecosystem. This will preserve the brand and expertise in auto leasing, with a possible rebranding in a few years.
Experts note that the deal will strengthen Alfa-Bank's position in the market, expand its presence in retail auto leasing, and may stimulate competition, accelerating sector consolidation and investment in digitalization.
