The Board of Directors of T-Tekhnologii approved the valuation of Tochka Bank at 84.8 billion rubles and the price of an additional share issue for asset consolidation — 320 rubles per share. The deal is planned to close by the end of 2026.
64% of Tochka will be paid for through an additional share issue at 320 rubles per share — a 27% premium to the market. The remaining payments will be made with cash using borrowed funds. The volume of placement could be 170 million shares, with an effective need of 85 million, or 3.2% of the total. Currently, T-Tekhnologii's economic stake in Tochka is 32% through Katalitik Pipl.
Tochka, a bank for entrepreneurs, was founded in 2015 and operated without its own license through partner banks until 2023. T-Tekhnologii became a co-owner in May 2025, gaining control over Katalitik Pipl with a 64% stake in the credit organization. In April 2026, Vladimir Potanin's Interros bought 25% of Tochka from VK for transfer to T-Tekhnologii via a private subscription.
The company expects the investment to pay off with a return exceeding 30% and ensure a positive trajectory for earnings per share. After the deal closes, Tochka will retain its brand and team, and the group will accelerate the development of its B2B direction through synergy — in particular, it will expand lending to entrepreneurs.
